Terms & Conditions: “Switch from Northspyre to Rabbet” Offer

1) Eligibility & proof of customer status

You must be an existing Northspyre customer on the qualification date (§3) and provide proof of an active contract (e.g., executed order/contract pages showing effective dates, modules/scope, term length, and pricing).

Offer is for new Rabbet subscriptions (no renewals/reactivations; not available to entities that used Rabbet in the prior 12 months).

One (1) discount or payout per legal entity. Void where prohibited by law or by your procurement rules.

2) Comparable scope (for savings calculation)

“Comparable scope” means the same (or materially similar) number of active projects, user seats, environments, and core modules (budgets, commitments/change orders, draws, approvals, reporting).

Savings compare annualized subscription fees only. They exclude taxes, overages, training, implementation/onboarding, data migration, integrations (including custom work), premium support, or other professional services unless included on both vendors’ quotes.

Rabbet will determine comparable scope in good faith based on the documentation you provide. If comparable scope cannot be reasonably established, Rabbet may decline participation in this promotion.

3) Qualification date

Eligibility, remaining term, and price comparisons are determined as of the timestamp you request a meeting with Rabbet via the campaign form or when a Rabbet rep logs your request.

4) 40% savings or $4,000 (with signup requirement)

After discovery, Rabbet will issue a written like-for-like quote.

If Rabbet’s annualized subscription for comparable scope is ≥ 40% lower than your Northspyre price, you qualify for the 40% discount (reflected on your order form).

If Rabbet’s quote does not achieve 40% savings, you may receive $4,000 only if you sign a new Rabbet subscription for comparable scope within 30 days of the quote. 

The 40% discount and the $4,000 benefit are mutually exclusive. If Rabbet can offer at least 40% savings on a comparable scope, you are only eligible for the discounted pricing, not the $4,000. The $4,000 benefit is available only where, in Rabbet’s good-faith determination, a like-for-like quote cannot achieve 40% savings.

Form of benefit: $4,000 cash payment or $4,000 invoice credit, at Rabbet’s discretion, issued within 60 days after your Rabbet subscription is executed and your environment is provisioned. U.S. recipients may need to submit a W-9; taxes are your responsibility.

No $4,000 if your Northspyre contract has already expired on the qualification date, if you decline to sign with Rabbet, or if eligibility/verification cannot be completed.

5) Commitment term based on remaining Northspyre term

If your remaining Northspyre term is longer than 8 months on the qualification date, Rabbet requires a 24-month contract commitment with an annual payment to participate in this promotion (applies whether you qualify for the 40% savings or the $4,000).

If your remaining Northspyre term is less than 8 months, no 24-month commitment is required. Standard annual or multi-year options are available.

6) “Use Rabbet for free” bridging

If you have < 8 months remaining: you may use Rabbet for free (i.e., $0 subscription fees) from your Rabbet go-live until your Northspyre expiration, with an executed Rabbet subscription; no 24-month commitment required.

If you have ≥ 8 months remaining: bridging is not included by default; Rabbet may offer alternatives at its discretion (e.g., phased rollout, credits). The 24-month commitment in §5 still applies to participate in the promotion.

“Use Rabbet for free” applies to subscription fees only and excludes implementation, data migration, integrations (standard or custom), third-party pass-through costs, and any professional services unless expressly waived in your order form. “Use Rabbet for free” applies only during the bridging period specified in your Rabbet order form and only after execution of that order form. Standard fees apply thereafter.

7) Integrations & custom work

All integrations—especially custom integrations—require Rabbet review and a separate SOW.

Custom integration work is not subject to this promotion (not discounted, not included in the 40% savings calculation, and not included in the “use Rabbet for free” benefit).

8) Stacking, availability, and verification

Cannot be combined with other Rabbet promotions or discounts.

Subject to Rabbet’s verification and approval; Rabbet may decline participation in cases of ineligibility, misrepresentation, or suspected fraud.

Limited-time offer; December 31, 2025. Rabbet may modify or end the offer at any time before an order form is executed.

9) No inducement to breach / orderly transition

You are responsible for complying with your Northspyre contract. This offer does not require early termination; Rabbet supports an orderly, non-disruptive transition.

10) Publicity & confidentiality

Pricing and commercial terms remain confidential per the parties’ agreements. You consent to reasonable, non-confidential verification steps.

11) Governing terms

Any Rabbet purchase is governed by your Rabbet Order Form and MSA. Disputes related to this offer follow the governing law/venue in those documents. Offer void where prohibited.

Northspyre is a trademark of its respective owner. Rabbet is not affiliated with or endorsed by Northspyre.
